IMPORTANT ELECTRONIC-ONLY SERVICE NOTICE: REDFi is a digital-first platform. To open, access, maintain, or use a REDFi account or any related service, you must consent to receive communications electronically and to use electronic records and electronic signatures. If you do not consent, or if you later withdraw consent, REDFi may be unable to provide the Services and may close or restrict your account, subject to applicable law, compliance review, provider requirements, pending transactions, and balance-return procedures.

Please read this Electronic Communications, Records, and E-Signature Consent carefully and print, download, or save a copy for your records. By checking the consent box, clicking “I Agree,” creating an account, continuing an application, signing electronically, or otherwise using the REDFi Services after this Consent is presented, you agree to the terms below.

1. Purpose and Scope of this Consent

This Electronic Communications, Records, and E-Signature Consent (“Consent”) explains how Redline Blockchain S.A., doing business as REDFi (“REDFi,” “we,” “us,” or “our”), may provide you with electronic records, notices, disclosures, agreements, policies, confirmations, statements, receipts, tax forms, and other communications relating to your REDFi account and the REDFi Services.

This Consent applies to all websites, dashboards, applications, APIs, onboarding flows, account applications, account services, virtual account services, wallet services, stablecoin services, fiat and digital asset transactions, USDB rewards features, customer support interactions, compliance reviews, and any other products or services made available by REDFi now or in the future (collectively, the “Services”).

This Consent also applies to Communications provided by or through REDFi’s service providers where those Communications relate to your REDFi account or your use of the Services. Service providers may include Bridge, Stripe or Stripe-affiliated companies, Persona, financial partners, banks, custodians, payment processors, liquidity providers, blockchain networks, compliance vendors, identity-verification providers, and other third parties involved in providing or supporting the Services.

2. Consent to Receive Electronic Communications

By accepting this Consent, you affirmatively consent to receive, access, sign, and retain electronically all communications, documents, agreements, records, notices, and disclosures that REDFi or its service providers may provide in connection with your account, application, transactions, or use of the Services (collectively, “Communications”).

You agree that electronic Communications have the same legal effect as if they were provided to you in paper form. You further agree that your electronic signature, electronic acceptance, checkbox consent, click-through acceptance, one-time passcode confirmation, typed name, or other electronic action intended to show agreement will have the same legal effect as a handwritten signature, to the maximum extent permitted by applicable law.

Communications may include, without limitation:

REDFi Master Terms of Service, Privacy Policy, Cookie Notice, fee disclosures, risk disclosures, and updates to those documents;

USDB Rewards Program disclosures, stablecoin risk disclosures, automatic-conversion disclosures, transaction finality disclosures, and related amendments;

Bridge or other service-provider terms, privacy notices, wallet terms, stablecoin terms, account terms, and legally required disclosures when applicable to your use of REDFi;

Account applications, onboarding consents, KYC/KYB requests, beneficial-owner requests, source-of-funds requests, source-of-wealth requests, compliance questionnaires, sanctions-screening notices, and document requests;

Account statements, balances, transaction histories, confirmations, receipts, deposit instructions, wallet-address instructions, beneficiary details, payout instructions, tax forms, reporting notices, and regulatory notices;

Fee schedules, dashboard pricing, conversion pricing, transaction charges, network fees, provider fees, service fees, and notices of changed fees or pricing methodology;

Security alerts, fraud alerts, account-freeze notices, suspension notices, termination notices, account-closure notices, rejected-transaction notices, support messages, and administrative notices;

Notices required by law, court order, arbitration rules, provider policy, compliance program, or any agreement between you and REDFi.

3. How REDFi May Deliver Communications

REDFi may provide Communications electronically by any method reasonably designed to make the Communication available to you. This includes posting the Communication on the REDFi website, inside your REDFi dashboard, inside an application or onboarding flow, through a secure link, by email, by SMS or text message, by push notification, by support message, by API notice, by downloadable PDF or other file, or by any other electronic method permitted by applicable law.

A Communication will be deemed delivered when it is posted, displayed, sent, made available, or otherwise transmitted by REDFi or its service provider, even if you do not open, read, download, or retain it, unless applicable law requires a different delivery standard.

You agree that REDFi may send time-sensitive Communications by email, dashboard notice, SMS, push notification, or other electronic channel, and you are responsible for reviewing your REDFi dashboard and official REDFi Communications regularly.

4. Electronic-Only Service; Paper Delivery Not Supported as a Standard Service

REDFi is an electronic-only, digital-native service. REDFi does not offer offline or paper-based account opening, paper-based account maintenance, or paper-only delivery of statements or legal disclosures as a standard service.

You may withdraw consent to electronic Communications as described below, but because electronic Communications are required to provide the Services, withdrawing consent may result in account closure, service restriction, suspension of access, inability to initiate new transactions, or balance-return procedures, subject to applicable law, compliance review, provider requirements, and pending transactions.

Nothing in this Consent requires REDFi to deliver every Communication electronically. REDFi may, in its discretion, provide certain Communications in paper form, require certain Communications from you in paper form, or use a specific method of delivery where required by law, provider policy, court order, regulator, law enforcement, or risk controls.

5. Hardware and Software Requirements

To access, view, sign, download, print, and retain electronic Communications, you must have, at your own cost:

A computer, smartphone, tablet, or other access device with an active internet connection;

A current email address and the ability to receive emails with hyperlinks and attachments;

A supported operating system, such as a current or reasonably recent version of Windows, macOS, iOS, iPadOS, Android, or a comparable operating system;

A supported web browser, such as a current or reasonably recent version of Google Chrome, Apple Safari, Microsoft Edge, Mozilla Firefox, or another browser that supports secure TLS/SSL connections, JavaScript, and cookies;

Software or browser capability to open, view, download, and retain PDF files and other common electronic files;

Sufficient storage capacity to save Communications or access to a printer to print Communications;

The ability to access your REDFi dashboard, receive SMS or one-time passcode messages where required, and complete multi-factor authentication where required.

By accepting this Consent, you represent that you have the hardware, software, access, email address, and technical ability described above. Your ability to view and accept this Consent demonstrates that you can access electronic Communications in the format in which REDFi provides them.

6. Your Responsibility to Retain Communications

You agree to print, download, save, or otherwise retain copies of Communications when REDFi advises you to do so or when you need them for your records. REDFi may not retain all Communications in your dashboard indefinitely, and certain Communications may become unavailable after account closure, suspension, migration, system updates, or provider changes.

You should maintain your own copies of important agreements, disclosures, transaction records, tax documents, and account notices. REDFi is not responsible for your failure to print, download, save, backup, or retain Communications that were made available to you electronically.

7. Requesting Paper Copies

Because REDFi operates electronically, paper copies are not provided as a standard service. You may request a paper copy of a specific Communication by contacting REDFi Support at help@redfi.io and identifying the Communication you are requesting.

REDFi may reject requests that are unreasonable, unavailable, duplicative, restricted by law, restricted by provider policy, or related to records that REDFi is not legally required or operationally able to provide. REDFi may charge a reasonable administrative, retrieval, printing, mailing, or courier fee for paper-copy requests, where permitted by law. Requesting a paper copy does not withdraw your consent to electronic Communications.

8. Withdrawal of Consent and Consequences

You may withdraw your consent to receive electronic Communications by contacting REDFi Support at help@redfi.io and clearly stating that you are withdrawing your E-Sign consent. REDFi may require identity verification before processing your request.

Withdrawal of consent will not affect the legal validity or enforceability of any Communications, electronic records, electronic signatures, agreements, transactions, consents, notices, or disclosures provided, signed, accepted, or delivered before the withdrawal becomes effective.

Because REDFi is an electronic-only service, withdrawing consent may prevent REDFi from continuing to provide the Services. REDFi may close, restrict, suspend, or disable your REDFi account and may stop allowing new transactions. Any remaining balance, pending transaction, conversion, payout, redemption, or account closure process will be handled in accordance with the REDFi Terms of Service, applicable service-provider terms, applicable law, compliance review, sanctions screening, fraud controls, provider requirements, and available rails.

REDFi does not guarantee immediate closure or immediate return of funds following withdrawal of consent. Account closure and balance return may be delayed, restricted, rejected, frozen, or subject to further review if required by law, provider requirement, sanctions screening, AML/CTF review, fraud review, court order, law enforcement request, dispute, reversal, chargeback exposure, tax reporting, or other compliance or operational reason.

9. Updating Your Contact Information

You must maintain a current email address, phone number, physical address, and other account contact information in your REDFi dashboard. You may update certain contact information by logging into your REDFi account or by contacting REDFi Support.

REDFi and its service providers are not responsible for any delay or failure in your receipt of Communications if your contact information is inaccurate, outdated, incomplete, blocked, disabled, filtered into spam or junk folders, or if your device, email provider, mobile carrier, internet provider, or security settings prevent delivery or access.

If REDFi sends a Communication to the email address, phone number, dashboard, or other contact channel shown in your account records, REDFi may treat that Communication as delivered, unless applicable law requires otherwise.

10. Changes to System Requirements

REDFi may update hardware, software, browser, security, authentication, file-format, or access requirements from time to time as technology, security standards, provider requirements, or legal requirements change.

If a material change creates a risk that you may no longer be able to access or retain electronic Communications, REDFi may notify you using an electronic method. Your continued use of the Services after notice of updated requirements confirms that you can continue to receive, access, and retain electronic Communications under the updated requirements.

11. Electronic Signatures and Electronic Records

You agree that your electronic actions may be used to form legally binding agreements and records. These actions may include checking a box, clicking “I Agree,” “Accept,” “Submit,” “Confirm,” “Continue,” “Sign,” or similar buttons; typing your name; submitting an application; using a one-time passcode; completing MFA; using biometric or device authentication; uploading documents; approving a transaction; or otherwise taking an action that indicates assent or authorization.

You agree that REDFi may maintain electronic records of your consents, signatures, transactions, authorizations, access activity, device information, IP address, timestamps, account identifiers, browser data, log-in events, acceptance events, and related audit-trail information. Such records may be used to demonstrate your consent, authentication, authorization, account activity, transaction instructions, and agreement to applicable terms.

You agree not to contest the validity, enforceability, admissibility, or legal effect of any Communication, electronic record, electronic signature, or electronic acceptance solely because it was created, delivered, signed, stored, or retained electronically.

12. Service-Provider Communications

Some Services are provided through or supported by third-party service providers, including Bridge, Stripe or Stripe-affiliated companies, Persona, financial partners, banks, custodians, payment processors, liquidity providers, compliance vendors, identity-verification providers, and blockchain networks.

You authorize REDFi to present, deliver, request, collect, transmit, store, and rely on electronic Communications, consents, signatures, records, and disclosures relating to those service providers where necessary or appropriate to provide the Services. You also acknowledge that certain service providers may provide Communications to you directly or may require separate consents, terms, disclosures, or signatures.

This Consent does not replace any consent, disclosure, or agreement required by a service provider unless the provider expressly allows it. If a service provider requires additional consent, you must provide that consent to access the applicable service.

13. Legal Recognition and Applicable Law

This Consent is intended to satisfy applicable requirements for consent to electronic records, electronic Communications, and electronic signatures, including, where applicable, Panama’s legal framework for electronic documents and electronic signatures, including Law No. 51 of July 22, 2008, as amended by Law No. 82 of November 9, 2012, and related implementing regulations; the U.S. Electronic Signatures in Global and National Commerce Act (“E-SIGN Act”) and state electronic-signature laws where applicable; and other electronic-signature or electronic-commerce laws that may apply based on your location, service provider, or transaction.

These references are not intended to limit the application of other laws, regulations, contractual requirements, provider requirements, court rules, arbitration rules, consumer-protection rules, financial-services rules, AML/CTF requirements, sanctions rules, or record-retention obligations that may apply to REDFi, you, or a service provider.

To the maximum extent permitted by applicable law, you agree that electronic Communications and electronic signatures may be used in place of paper documents and handwritten signatures in connection with your REDFi account and the Services.

14. Language of Communications

Unless otherwise required by applicable law or separately agreed by REDFi in writing, Communications may be provided in English. REDFi may provide Spanish translations or other translations for convenience, but the English version will control unless REDFi expressly states otherwise or applicable law requires a different result.

You are responsible for ensuring that you understand Communications before accepting them, signing them, or using the Services. If you do not understand a Communication, you should not proceed until you have obtained assistance from your own advisor or contacted REDFi Support.

15. Security and Account Access Responsibilities

You are responsible for maintaining the security of your devices, email account, phone number, passwords, passcodes, authentication applications, one-time passcodes, recovery methods, and REDFi login credentials. You should not share your credentials or allow unauthorized persons to access your account or Communications.

If you believe your account, email, device, phone number, password, one-time passcode, or authentication method has been compromised, you must notify REDFi immediately at help@redfi.io and take reasonable steps to secure your account. REDFi is not responsible for losses caused by unauthorized access resulting from your failure to secure your device, email, phone number, credentials, or authentication method, except to the extent liability cannot be excluded under applicable law.

16. Consent Acknowledgment

I have read and understand this REDFi Electronic Communications, Records, and E-Signature Consent.

I consent to receive Communications electronically from REDFi and, where applicable, REDFi’s service providers in connection with my REDFi account and use of the Services.

I consent to the use of electronic records and electronic signatures in place of paper documents and handwritten signatures.

I confirm that I can access, view, download, print, and retain electronic Communications using my current hardware, software, email account, and access device.

I understand that REDFi is an electronic-only service and that withdrawing this consent may result in account closure, service restriction, and balance-return procedures subject to applicable law, provider requirements, compliance review, and the REDFi Terms of Service.

I agree to keep my contact information current and to regularly review my REDFi dashboard and official REDFi Communications.

17. E-Sign Disclosure & Consent

By opening an account, I agree to receive REDFi Communications electronically and to use electronic records and electronic signatures. I confirm that I can access, view, download, print, and retain electronic Communications, and I understand that REDFi is an electronic-only service.
